1. B2B Reseller Qualification & Sales Tax Exemption
* SIP Foundary operates primarily as a business-to-business (B2B) trade vendor supplying custom print studios, Etsy creators, and wholesale distributors. 
* Tax Exemption: Buyers purchasing inventory for commercial resale or custom production must submit a valid state-issued Resale Certificate or Sales Tax Exemption form through our Business Account Center.
* Legal Obligation: Until your sales tax exemption status is verified and formally approved by our compliance team, we are legally required to collect applicable state and local sales taxes at checkout. Retroactive tax refunds for unverified accounts are strictly prohibited.

2. Professional Use & Technical Calibration Disclaimer
* Product Nature: All items sold on this platform are commercial-grade blanks engineered strictly for professional thermal dye-sublimation, heat press, and laser decoration processing.
* Buyer Responsibility: The buyer assumes 100% operational responsibility for calibrating their individual heat press machines, sublimation ovens, inks, paper transfer sheets, and printing equipment. 
* Variations: While we guarantee factory-standard poly-coating specifications, minor variations in press time and temperature may occur depending on local equipment brands and ambient studio conditions.

3. Bulk Tier Pricing & Inventory Allocation
* Price Adjustments: Prices for our commercial blanks are subject to change without prior notice. We reserve the right to modify volume tier pricing structures or pallet discounts at any time due to raw material costs or global ocean freight fluctuations.
* Quantity Restrictions: We reserve the right to limit the order quantities of any product per business entity if regional warehouse stock levels are critically low, ensuring supply chain continuity for our long-term contracted studio partners.

4. Comprehensive Limitation of Liability
* To the maximum extent permitted by applicable law, JC Home America Inc (SIP Foundary) shall not be liable for any indirect, incidental, or consequential damages resulting from product usage.
* Spent Consumables Disclaimer: Our liability is strictly limited to the replacement of verified defective unprinted blank inventory under our warranty terms. We are NOT liable or responsible for the costs of spent inks, ruined transfer papers, production labor, utility expenses, shipping delays, or lost business profits caused by failed sublimation transfers.

5. Governing Law and Jurisdiction
* These Terms of Service and any separate commercial agreements whereby we provide you Services shall be governed by, and construed in accordance with, the laws of the State of Texas, United States, without regard to its conflict of law principles. Any legal actions must be filed in the competent courts of Dallas County, Texas.
